Terms Of Service
Version 2.00 | Effective date: 13 October 2026
1. Parties, scope and acceptance
1.1 These Terms govern access to Chumo's website, applications, APIs and related services (the Platform). The operator is Chumo Live (Pty) Ltd, a duly incorporated and registered Company with limited liabilities according to the Company Laws of the Republic of South Africa and with registration number 2026/049303/07 (“Chumo, we, us”).
1.2 You accept these Terms by actively selecting the acceptance checkbox and completing registration, or by another express acceptance process that clearly presents these Terms before acceptance. Merely browsing public pages does not constitute agreement to payment obligations, indemnities or consent to optional processing. You must have an opportunity to read, download and retain these Terms before accepting them.
1.3 If acting for an organisation, you confirm authority to bind it. If you lack that authority, you may register only in your individual capacity. An organisation's acceptance does not replace any separate consent required from an individual data subject.
1.4 These Terms apply to users in South Africa and in other countries where the Platform is lawfully offered. Mandatory consumer, privacy and other protections applicable to your transaction remain available. No acceptance checkbox waives those protections.
1.5 An Institute's signed service level agreement governs its contracted services and prevails over these Terms to the extent of a conflict in that relationship, subject to mandatory law. It does not remove an End User's statutory rights. Institute purchase conditions govern its own sales only if supplied before purchase and validly accepted. An applicable country-specific supplement prevails over inconsistent general wording to the extent stated in that supplement, subject to mandatory law.
2. Definitions
2.1 “Institute” means a professional body, organisation or content provider using the Platform to serve its members or customers.
2.2 “Member or End User” means an individual accessing Platform content or services.
2.3 “Content” includes text, images, video, audio, documents, comments, chat and other materials.
2.4 “Event” means a live or recorded webinar, conference or session.
2.5 “VOD” means video on demand.
2.6 “CPD” means continuing professional development.
2.7 “Subscription” means a recurring access plan.
2.8 “Supplier” means the person identified at checkout as selling the purchased content or service.
2.9 “Consumer” means a person protected as a consumer under the law applicable to the relevant transaction.
2.10 “Business Day” means a day other than a Saturday, Sunday or South African public holiday for contractual notices; statutory periods are calculated under the applicable statute.
3. Registration and account security
3.1 You must be at least 18 and have attained legal majority in your jurisdiction. The Platform is not offered to children under these Terms. You must supply accurate, necessary registration information and keep it current. We may undertake proportionate verification where needed for security, eligibility or legal compliance.
3.2 Keep credentials secure, do not share accounts or access rights, use available security controls and promptly report suspected compromise. You are responsible for activity you authorise and loss attributable to your fraud or failure to take reasonable care. You are not automatically responsible for unauthorised activity or a security failure attributable to Chumo or its providers.
3.3 We may temporarily restrict a compromised account to protect users and investigate, notifying you were lawful and practicable. We will assist with reasonable account recovery. Our own security and statutory duties remain unaffected.
4. Institutes, suppliers and members
4.1 Institutes must manage member permissions lawfully, obtain content rights, ensure lawful pricing and billing, provide required purchase disclosures, maintain applicable professional approvals and accurately specify CPD eligibility and recognition. They must provide accessible cancellation, refund and complaint channels for their sales.
4.2 The Supplier and Chumo's role must be clearly identified before payment. Where an Institute is the Supplier, Chumo supplies the technology and may facilitate payment or refunds as disclosed; Chumo does not thereby become the content Supplier. Where Chumo sells a service itself, Chumo is responsible as Supplier. No description of Chumo as an intermediary excludes responsibility imposed on it by law or for its own conduct.
4.3 Institute membership arrangements are separate from these Terms. Ending membership may affect permissions but does not automatically extinguish paid rights or refund entitlements. We and the Institute will identify the effect and available remedies.
4.4 We will apply reasonable technical and organisational measures to separate tenant data and limit access. Any permitted sharing, such as a member's enrolment with another Institute, must be transparent and lawful. Tenant separation does not prevent authorised support, lawful disclosures or processing described in the Privacy Notice.
5. Purchases, subscriptions and refunds
5.1 Before an order is submitted, checkout must identify the Supplier, product, access period, essential features and technical requirements, geographical restrictions, currency, total price including applicable taxes, additional charges, payment method, supply date, minimum commitment, renewal terms and cancellation/refund conditions. You may review and correct errors or abandon the order before confirming payment. No undisclosed optional charge will be added.
5.2 Payment is processed through the disclosed gateway. By expressly confirming an order, you authorise the disclosed payment and, where separately selected, recurring charges on the displayed terms. The Supplier will provide a receipt and durable confirmation of the order and applicable terms. A failed payment does not authorise duplicate collection or payment of undisclosed fees. We will use payment systems meeting applicable security requirements and remain responsible for duties the law places on us.
5.3 No recurring charge is authorised solely by registering an account. Automatic renewal must be prominently disclosed and actively accepted before purchase, including the amount or calculation basis, frequency, first renewal date, trial conversion and cancellation method. Any legally required reminder or additional consent must be provided. No new fixed term is imposed by silence where express agreement is required.
5.4 Month-to-month subscriptions may be cancelled through account settings or by a recorded request to the Supplier or Chumo. We will acknowledge and route a request if the Institute is the Supplier. Ordinarily cancellation stops the next renewal and access continues to the end of the paid period, unless you request immediate closure or a statutory right requires earlier cancellation or a refund. A request received before the disclosed renewal cut-off must stop the next charge; any cut-off must be reasonable, lawful and shown before purchase. Cancelling payment authority and closing an account do not themselves settle accrued lawful charges, but we will help you cancel the underlying subscription.
5.5 Where section 14 of the South African Consumer Protection Act 68 of 2008 (CPA) applies to a fixed-term agreement, the consumer may cancel on 20 Business Days' written or recorded notice. Only a reasonable lawful cancellation penalty, assessed under applicable regulations, may be charged; it may not negate that right. The Supplier must give the required expiry notice 40 to 80 Business Days before expiry. On expiry the agreement continues month-to-month unless the consumer directs termination or expressly agrees to another fixed term. Applicable limits on fixed-term duration must be observed. Section 14 does not apply to transactions between juristic persons. More favourable mandatory rules applicable elsewhere prevail.
5.6 Where section 44 of the Electronic Communications and Transactions Act 25 of 2002 (ECTA) applies, a consumer may cancel a service transaction without reason or penalty within seven days after conclusion, and payment must be refunded within 30 days of cancellation. Statutory exclusions apply only when their requirements are met. In particular, beginning a service within that period with the consumer's consent may engage section 42(2)(d). General acceptance of these Terms is not our evidence of a specific request for early performance. Downloadable or streamed content must be classified and assessed under the applicable law before relying on an exclusion. The five-Business-Day CPA cooling-off right for qualifying direct-marketing transactions applies where relevant, subject to the statutory interaction with ECTA. Any additional statutory remedy for inadequate electronic transaction disclosures remains available.
5.7 For consumers outside South Africa, applicable mandatory withdrawal periods and refund deadlines apply. Where EU/EEA consumer withdrawal rules apply, the usual withdrawal period is 14 days from conclusion for services or digital content, subject to the applicable exceptions and extensions. For paid digital content supplied without a tangible medium, any loss of the withdrawal right requires prior express consent to immediate supply, acknowledgement of that consequence, commencement of supply and the required contract confirmation. For services, requesting early commencement does not by itself eliminate the withdrawal right: proportionate payment or loss of that right on full performance is permitted only if the relevant legal requirements are satisfied. The checkout notice must identify the relevant category and local rules. Withdrawal instructions and any mandatory model form must be provided before purchase.
5.8 The Supplier remains responsible for statutory remedies for non-supply, defective services, misleading descriptions or lack of conformity. Where CPA section 54 applies, the consumer may require remedy of deficient services or a reasonable refund having regard to the failure. If an Event is cancelled, or purchased access cannot be supplied, the Supplier must offer the legally required refund or remedy. A replacement date, recording or voucher is not imposed instead of a refund to which you are entitled. Statutory rights cannot be replaced by a blanket 'all sales final' policy. Outside statutory entitlements, the specific fair refund policy disclosed before purchase applies.
5.9 Send refund or withdrawal requests to the disclosed Supplier or through Chumo's support channel, stating the account and transaction reference. No particular form is compulsory unless law requires it. We will acknowledge, assist and route requests promptly. Refunds are made through the original payment method where practicable, within the applicable legal deadline. Internal approval processes cannot postpone a statutory deadline.
5.10 Price changes apply prospectively. We or the Supplier will give at least 30 calendar days' notice of a subscription increase, or any longer legally required notice, with the new price, date and cancellation method. We will not increase a committed fixed-term price without a disclosed lawful basis or your express agreement. Where new consent is legally required, continued use is insufficient. You may cancel before the increase takes effect without a penalty for rejecting it.
5.11 Purchases may be priced in South African rand or another displayed currency. Any conversion undertaken by your bank or gateway and associated charges must be distinguished from Supplier charges. The Supplier is responsible for taxes it must collect or remit; no term transfers that obligation to you. Your own taxes remain your responsibility only where law imposes them.
6. Content and intellectual property
6.1 Chumo or its licensors own Platform technology, design and branding. Subject to these Terms and lawful purchase conditions, you receive a limited, non-exclusive, non-transferable right to use the Platform and access content for the permitted purpose. Restrictions do not override mandatory intellectual property exceptions.
6.2 Content owners retain ownership. Institutes grant Chumo a non-exclusive, worldwide, royalty-free licence to host, store, process, transmit and display their content only as necessary to provide their authorised services. Syndication or use beyond the agreed audience requires the applicable rights and separate authorisation. This licence does not permit unrelated advertising, sale of content or AI model training.
6.3 Users retain rights in their submissions and grant Chumo and the relevant Institute the limited rights needed to display and operate the selected feature, with visibility explained before posting. Users must hold necessary rights and avoid disclosing another person's confidential or personal information without lawful authority. Licences end when content is removed, except for necessary backups, lawful retention and previously authorised copies; retained copies must remain protected. Copyright permission is not a substitute for a data-processing legal basis.
6.4 Do not submit unlawful, infringing, fraudulent, threatening, abusive or discriminatory content, malware, impersonation, spam or material that unlawfully discloses personal information. Report suspected infringement or abuse to clause 18's channel with enough detail to identify the content and complaint.
6.5 We may restrict or remove content for a reasonably established breach, legal requirement or credible safety/security risk. Where practicable, we will state the reason and provide an opportunity to respond or appeal. Immediate removal may be necessary for urgent risk or legal compliance. We do not promise general pre-screening; statutory notice-and-action duties remain applicable.
7. Acceptable use
7.1 Do not gain unauthorised access, manipulate attendance, circumvent payments or access controls, distribute malware, disrupt services, impersonate others, scrape without permission, or record or redistribute protected content without authorisation. Reverse engineering restrictions apply only to the extent lawful. Do not share or sell credentials. Legitimate accessibility tools and lawful activity are not prohibited merely because they involve automation. We may impose proportionate technical controls to protect the Platform.
8. CPD and attendance
8.1 CPD certificates are issued under the authority of the identified Institute or accredited provider. Before purchase, it must disclose the recognising body, territory, accreditation status and completion requirements. Recognition in one country does not establish recognition elsewhere. You should verify suitability for your regulator and profession.
8.2 The Institute is responsible for its accreditation representations and eligibility decisions. Chumo remains responsible for the reasonable care and skill of its own technical services and its own representations. Neither party may disclaim statutory responsibility for misleading claims or its own failures.
8.3 Attendance may be measured by connection duration, participation or assessments as disclosed in the Privacy Notice and event requirements. Technical records may require correction. Users may request review, supported by available evidence, and a human assessment where a disputed automated outcome materially affects certification. No term removes statutory automated-decision protections.
8.4 Fraudulent claims or manipulation may result in proportionate sanctions after investigation. Disclosures to Institutes or regulators must have a lawful basis, be limited to necessary information and respect applicable procedural rights.
9. Privacy, recordings and international transfers
9.1 The Privacy Notice linked at registration explains each processing purpose, legal basis, required and optional fields, consequences of not providing required data, recipients, retention, rights, complaints and international transfers. Accepting these Terms acknowledges access to that notice; it does not constitute blanket consent to all processing.
9.2 Chumo acts as a responsible party/controller for purposes it determines, such as its own account administration, security and billing, and as an operator/processor when acting on an Institute's documented instructions. Actual functions determine these roles. Institutes must provide their own notices and legal bases. Processing on their behalf must be governed by an appropriate written processing agreement, including security, confidentiality, sub-processors, incident handling and deletion/return obligations.
9.3 We will process personal information lawfully under POPIA and other applicable privacy laws, apply proportionate security, minimise collection and retention, and make legally required breach notifications. Rights may include access, correction, objection, restriction, deletion, withdrawal of consent, portability where applicable and complaint to the relevant regulator. Requests may be sent to clause 18's privacy contact. Withdrawal does not retrospectively invalidate lawful processing and does not require deletion of records we must lawfully retain. PAIA requests may be made as described in our published PAIA manual.
9.4 Optional electronic direct marketing requires an appropriate lawful basis and compliance with applicable marketing rules, including POPIA section 69 where relevant. Any consent requested must be separate, specific, voluntary and initially unticked, identifying the sender and channels. You may unsubscribe without charge. Essential account, purchase or security messages are distinguished from marketing. Declining optional marketing does not prevent registration.
9.5 Non-essential cookies and similar technologies must comply with applicable consent rules. Where prior consent is required, they will not operate until the user opts in, and rejection or withdrawal will be reasonably accessible. Terms acceptance is not cookie consent.
9.6 Personal information may be accessed, stored or processed in South Africa or other locations identified in the Privacy Notice, including provider and support locations. Chumo and the relevant Institute must establish a lawful transfer basis before any cross-border transfer, including POPIA section 72 safeguards where applicable, and any required transfer assessment, regulator approval or localisation arrangement. A user checkbox does not replace a mandatory authorisation or permit unlawful offshore storage. Where GDPR or comparable laws apply, their territorial requirements and international-transfer safeguards must also be met. Processing must not begin for a country requiring outstanding approval or local hosting unless a compliant arrangement is in place.
9.7 An Event's recording status, captured information and intended audience must be disclosed before participation. Presenter releases and any separately required consent must be obtained. Where practical, attendees may keep cameras and microphones off. Publication of attendee details, images or contributions outside the disclosed purpose, including marketing use, requires a separate lawful basis. Health or other sensitive information should not be uploaded unless the feature is specifically authorised and legally compliant.
10. Service availability
10.1 We will provide our services with reasonable care and skill and applicable statutory standards. Access depends partly on your equipment, connectivity and third-party systems. We will disclose material technical requirements and take reasonable steps to prevent and remedy interruptions, with advance maintenance notice where practical.
10.2 We cannot promise uninterrupted access or universal compatibility, but are not released from responsibility for our own failures. Report streaming or access issues promptly so that reasonable corrective action can be taken. Contractual Institute service credits are governed by its signed SLA; they do not replace End User statutory remedies. No automatic credit or exclusive downtime remedy is created by these Terms unless separately lawfully agreed for the relevant relationship.
11. Liability: please read before accepting
11.1 These Terms do not exclude or limit liability for fraud, intentional wrongdoing, gross negligence, death or personal injury caused by negligence, or any liability or remedy that applicable law prohibits us from excluding or limiting. Statutory consumer guarantees, refunds and data-protection remedies remain available.
11.2 Subject to clause 11.1, Chumo is responsible for reasonably foreseeable direct loss caused by its breach of these Terms or failure to exercise reasonable care and skill. Chumo is not responsible for loss caused exclusively by a user's or independent third party's conduct, except where law makes Chumo responsible. An Institute's independent content opinions are not Chumo's professional advice.
11.3 For users acting wholly in a business capacity, and only to the extent fair and enforceable, Chumo excludes indirect or consequential losses and lost profits, goodwill or business opportunities. Subject to clause 11.1, aggregate liability for such business claims is limited to the greater of ZAR 10,000 or fees paid or payable to Chumo for the affected services in the preceding 12 months, including amounts remitted on the user's behalf. An Institute's signed SLA may provide a different agreed cap. These business exclusions and cap do not apply to users protected as consumers under applicable law. Loss is not excluded merely because it involves data or unauthorised access.
11.4 Each party must take reasonable steps to reduce avoidable loss. This does not require you to incur unreasonable expense or relinquish legal rights.
12. Limited business-user indemnity: please read before accepting
12.1 This clause applies only to users acting wholly in a business capacity who are not protected as consumers under applicable law. You indemnify Chumo against reasonable, proven third-party claims and resulting costs to the extent directly caused by your unlawful content, deliberate misuse, material breach or infringement of third-party rights. No indemnity arises merely from ordinary use or a dispute with an Institute.
12.2 The indemnity does not cover loss caused by Chumo's or its providers' wrongful conduct, negligence or breach. Chumo must promptly notify you, allow reasonable participation in the defence, mitigate loss and obtain your approval, not unreasonably withheld, before agreeing a settlement imposing obligations on you. No recovery may be duplicated. This clause remains subject to mandatory law and fairness requirements.
13. Suspension, cancellation and termination
13.1 You may close an account through available controls or a recorded request to Chumo or the relevant Institute. We will explain effects on subscriptions, access, certificates and retention. Subscription cancellation and account deletion are distinct requests. Paid access and statutory refunds are addressed under clause 5.
13.2 We may suspend or terminate for a material breach, lawful order or substantiated security, fraud or safety risk. Except where urgent action or law requires otherwise, we will explain the breach and allow a reasonable cure period. Where CPA section 14 applies, Supplier cancellation for material breach follows 20 Business Days' written notice and an opportunity to remedy. Any urgent protective suspension must be proportionate and reviewed promptly.
13.3 If Chumo discontinues a paid service for commercial reasons, we will give at least 30 calendar days' notice, or longer statutory notice, and arrange lawful refunds for unprovided services. Where CPA section 64 applies to closure of a service facility without a reasonably accessible alternative, the required 40-Business-Day notice and refund within five Business Days after closure will apply. Commercial inconvenience is not a ground for forfeiting prepaid rights.
13.4 On termination, lawful accrued fees remain payable, unused fees are treated under clause 5, and data is returned, retained or deleted under the relevant processing agreement, Privacy Notice and law. Where lawful and practicable, users may download existing certificates and records before closure. We will not immediately delete evidence required for unresolved complaints or lawful retention. Clauses intended to survive do so only to the extent relevant and lawful. You may request review of a suspension or termination through clause 18.
14. Governing law and use outside South Africa
14.1 South African law governs these Terms, subject to applicable conflict-of-laws rules and mandatory laws that protect you. In particular, a consumer retains any non-waivable protection applicable in their habitual country of residence. CPA, ECTA, POPIA and PAIA apply to the extent their respective requirements are met; foreign legislation applies where its territorial and substantive scope is met.
14.2 Overseas access is permitted where the service can lawfully be offered and the displayed territorial/content restrictions allow it. Chumo and Institutes remain responsible for their own applicable duties. You must comply with laws governing your own use and must not bypass lawful territorial restrictions. We may restrict a particular territory where provision would breach law, explaining the effect on paid services and lawful remedies where possible.
14.3 No term represents that every course is accredited everywhere, that every country's privacy rules are identical, or that South African governing law displaces foreign mandatory law. Applicable country notices or supplements must be presented before registration or purchase, with local currency, tax, withdrawal, privacy and dispute information where required.
15. Complaints and disputes
15.1 Contact clause 18's support channel with the account, transaction and issue. We will acknowledge complaints within five Business Days and aim to resolve them within 30 calendar days, providing progress updates if more time is needed. This process does not extend statutory deadlines or suspend legal time limits.
15.2 Parties may agree to voluntary mediation, remotely where suitable. An overseas consumer is not required to travel to South Africa or mediate before seeking a statutory remedy. The mediator, procedure and costs must be agreed.
15.3 South African courts with competent jurisdiction may hear disputes, but this is not exclusive where mandatory law permits proceedings elsewhere. Consumers retain any right to approach competent courts in their country, regulators, ombuds, consumer tribunals or other statutory bodies. Nothing prevents urgent relief or a complaint to South Africa's National Consumer Commission, Information Regulator or an applicable foreign authority.
16. Changes to these Terms
16.1 We may make prospective changes for legitimate operational, security, legal or service reasons. Material changes will be notified in a durable or retainable form at least 30 calendar days before taking effect, unless law or an urgent security issue requires a shorter period. We will identify the changes, effective date and available choices.
16.2 Changes do not retrospectively alter completed purchases or disputes. Where express acceptance is necessary, we will obtain it before applying the change. Continued use is not consent to new marketing, unrelated processing, new fixed-term commitments or charges requiring active authorisation. If you reject a material adverse change, you may cancel the affected service before it applies without a penalty for that rejection and receive any refund due for unprovided prepaid services.
17. General provisions
17.1 These Terms and the applicable accepted order conditions govern the relevant Platform use, subject to clause 1.5. The Privacy Notice explains processing and does not waive statutory rights. No entire-agreement wording excludes liability for misrepresentation or overrides a signed Institute SLA.
17.2 If a provision is unlawful or unenforceable, it is severed to the extent necessary; the remainder continues where lawful. A court may grant remedies or adjust provisions only within its powers. Delay in enforcement is not a waiver. A waiver must be clear and recorded and cannot waive non-waivable rights.
17.3 Neither party may transfer obligations in a way that unlawfully prejudices the other. Chumo may transfer the service to a suitable successor on notice if safeguards, paid entitlements and available remedies are maintained. Any legally required consent must be obtained. Users may not transfer an individual account without authorisation, which will not be unreasonably withheld where lawful and appropriate.
17.4 An event beyond reasonable control excuses performance only to the extent it actually prevents performance despite reasonable precautions and mitigation. We will give notice and reasonable updates. Payment for services already supplied remains due, but statutory cancellation/refund rights and remedies for prolonged non-supply remain available. An avoidable security failure is not automatically force majeure.
17.5 Notices may be sent through a retainable Platform message or the account email. We will provide material legal and financial notices by a method reasonably likely to reach you; mere posting is insufficient where direct notice is required. You must keep contacts current. Legal service must follow applicable procedural requirements and cannot be deemed completed merely by a Platform notification.
